Cognizant Supplemental Terms

Cognizant TriZetto Software Group, Inc. (“Cognizant”) or its affiliates maintain this website on behalf of Molina Healthcare (“Cognizant Customer”) in order to make available to you application programming interfaces (“APIs”), a testing environment (“Sandbox”), documentation, and other content, if any, is provided (together with this website, “Content”) in order for you to develop software applications that interact with the APIs.  These terms supplement and are in addition to any other terms provided by the Cognizant Customer. 

You solely are responsible for  (a) determining the suitability of the Content for your use, designing, developing, configuring and testing your software application (including to what extent you test your software application using the Sandbox or with the Cognizant Customer’s system), (b) making sure that your software application meets security requirements, (c) having appropriate procedures and systems in place that will maintain your operations and availability if this website, the APIs, the Sandbox, or other content is unavailable, (d) compliance with all applicable laws and regulations governing what conditions, circumstances and environments information obtained through the APIs may be exchanged with your software application, and (e) all other considerations and activities with respect to the use of the Content and your software application.

Cognizant grants you a non-exclusive, limited, non-transferable license to use the Content with your software application to interact with the APIs.  The Content including derivative works and enhancements is exclusively owned by Cognizant, its affiliates or their licensors. 

Cognizant and its affiliates make no warranties, whether statutory, express or implied, including warranties of merchantability, fitness for purpose, title or non-infringement with regard to the Content or that the Content is error-free, uninterrupted, or free of harmful code.  Cognizant and its affiliates assume and have no liability or responsibility for Content or your use of it.  Cognizant and its affiliates assume and have no liability for actions taken as a result of or in connection with the Content provided and assume no liability as a result of the use or misuse of the Content.  Neither Cognizant nor its affiliates are liable for any damages that may result, including direct, indirect, special, consequential, lost profits, loss of data, business interruption, even if they have been advised of the possibility of such damages, and whether or not the damages are suffered by a user, patient, customer, member, developer, payer, provider, or third party. 

By using the Content, you agree to defend, indemnify, and hold harmless Cognizant and its affiliates, its suppliers, licensors and business partners harmless from any liability or damages arising from your use or other activities with respect to Content or your application, including use or other activities with respect to your software application or other use or misuse by a user, patient, customer, member, developer, payer, provider, or other third party.

You agree not to upload any software or content to the website, not to reverse engineer any of the Content, not to introduce any virus, malware, or other harmful code into the website or other system or software related to the Content.

You are responsible for all costs and expenses with respect to your software application and use of Content.  Cognizant and its affiliates are not responsible for any third party content, services, links, or other materials provided here.  Cognizant or its affiliates may modify these terms at any time.  All trademarks, service marks and company names are the property of their respective owners.
